Introduction

Cia. (hereinafter referred to as the “Subsidiaries”).This Terms of Use Agreement sets forth the rules for your use of the HY CITE Online Service. By using the hycite.com; royalprestige.com; opportunityroyal.com; nutraease.com; and identity.hycite.com; websites (collectively “HYCITE WEBSITES”), you (the “Member”) agree to be bound by these terms and conditions. If you do not agree to the terms and conditions of this agreement, you must immediately discontinue all use of this website. HY CITE reserves the right to modify, alter or update the terms and conditions of this agreement at any time without prior notice. Modifications will be effective immediately upon posting on the HYCITE WEBSITES. Your continued use of the Service following the posting of amendments constitutes your acknowledgement and acceptance of the Agreement as modified. Except as provided in this section, this Agreement may not be amended.

Service Description

HY CITE provides Member with the use of the HYCITE WEBSITES. Member shall provide (1) all equipment necessary for its own Internet connection, including computer and modem, and (2) facilitate Member's access to the Internet, and (3) pay all charges related to such connection.

DISCLAIMER OF WARRANTIES

HY CITE provides the Website on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, HY CITE and/or its Subsidiaries make no representations or warranties of any kind, express or implied, regarding the use or the results of this Website in terms of its correctness, accuracy, reliability, or otherwise. HY CITE and/or its Subsidiaries assume no liability for any interruption in the use of this Website. THE MEMBER AGREES TO ASSUME ALL RISKS ASSOCIATED WITH, OR ARISING FROM, THE USE OF THE HYCITE WEBSITES, AND HY CITE AND/OR ITS SUBSIDIARIES SHALL NOT BE LIABLE FOR ANY DAMAGES, AND IN PARTICULAR HY CITE ENTERPRISES, LLC SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THIS WEBSITE OR THE INFORMATION CONTAINED HEREIN, REGARDLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, STATUTE, EQUITY, OR OTHERWISE. AT LAW OR OTHERWISE, EVEN IF HY CITE ENTERPRISES, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO THE ABOVE LIMITATION MAY NOT APPLY.

Compensation

Member agrees to indemnify and hold HY CITE, its parents, subsidiaries, affiliates, officers and employees harmless from any claim or demand, including applicable court and/or out-of-court costs, attorneys' fees and reasonable costs, made by any third party due to or arising out of Member's use of the Service, Member's breach of this Agreement, or Member's or other user of the Service using Member's computer's breach of any intellectual property or other right of any person or entity.

Modifications and Interruption of Service

HY CITE reserves the right to modify or suspend the Service with or without notice to the Member. HY CITE assumes no liability to the Member or any third party should HY CITE exercise its right to modify or suspend the Service. The Member acknowledges and agrees that HY CITE does not guarantee continuous, uninterrupted or secure access to our website and that the operation of our website may be interfered with or adversely affected by numerous factors or circumstances beyond our control.

Third Party Sites

Our website may include links to other sites on the Internet that are owned and operated by online merchants and other third parties. You agree that we are not responsible for the availability or content of any third party website or content accessed through such third party sites. Competent jurisdiction of the courts of Wisconsin, USA.

Any action or proceeding arising out of or relating hereto shall be brought in the courts of the State of Wisconsin, without right to any other jurisdiction, except that it arises from access made in any of the countries in which HY CITE has subsidiaries, in which case HY CITE, in its sole discretion, may choose the seat of the subsidiary where the access was made. Botnets

HY CITE reserves the right, at its sole discretion, to terminate any account associated with botnets and related activities. If a hostname is used as a command and control point for botnets, HY CITE reserves the right to direct the hostnames in question to a honeypot, loopback address, logging facility, or any other destination it deems appropriate.

Other conditions

If any provision of this Terms of Use Agreement is found to be unlawful, void or unenforceable for any reason, the other provisions (and any partially enforceable provisions) will not be affected thereby and will continue to be valid and enforceable to the maximum extent possible. You agree that this Agreement and any other agreements referenced herein may be assigned by HY CITE, at our sole discretion, to a third party in the event of a merger or acquisition. This Terms of Use Agreement may not be superseded by and shall apply in addition to any other written agreement between us relating to your participation as a Member. Member agrees that, by accepting this Agreement, he or she consents to the use and disclosure of his or her personally identifiable information and other practices described in our Privacy Policy Statement, which you must read and agree to before agreeing to these terms, as by your acceptance of this agreement, Member agrees that you are aware of and agree to the terms of our Privacy Policy Statement.
